These Terms of Use (“Terms”) govern your access to and use of the sellshirts website, platform, APIs, integrations, and services (together, the “Services”).

By creating an account, placing an order, uploading content, or otherwise using the Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Services.

1. About Us

sellshirts is operated by streetshirts Ltd, a company registered in England and Wales under company number 08738607, with its registered office at 8–9 Witham Point, Wavell Drive, Lincoln, LN3 4PL (“we”, “us”, or “our”).

2. Eligibility and Accounts

  1. You must be at least 18 years old to use the Services.
  2. You are responsible for maintaining the confidentiality of your account credentials and for all activity carried out under your account.
  3. You agree to provide accurate, current, and complete information when creating an account and to keep that information up to date.

3. Description of Services

We provide:

  • Print-on-demand and drop-shipping services for customised and personalised apparel and related products
  • A marketplace allowing users to upload, sell, and license designs
  • Integrations with third-party ecommerce platforms (including Shopify, WooCommerce, Etsy, and similar systems)
  • A “send-to-you” fulfilment service allowing customers to order products at trade prices

We reserve the right to modify, suspend, or discontinue any part of the Services at any time.

4. Orders and Production

  1. All products are manufactured on demand based on the specifications and data submitted by you or your connected ecommerce platform.
  2. You are solely responsible for order accuracy, product specifications, sizes, colours, quantities, and uploaded artwork or personalisation data.
  3. Once an order has entered production, it cannot be changed, cancelled, or refunded, except where required by law or expressly stated in these Terms.

5. Personalised Products and Cancellation Rights

  1. All products produced through the Services are personalised and made to order.
  2. Under Regulation 28(1)(b) of the Consumer Contracts Regulations 2013, personalised goods are exempt from the 14-day cancellation period.
  3. By placing an order, you expressly acknowledge that:
    • You lose the right to cancel once production has begun
    • Refunds are not available for change of mind, customer error, or design approval

6. Pricing, Payments, and Trade Pricing

  1. Prices are displayed inclusive or exclusive of VAT as stated at checkout.
  2. Trade pricing and “send-to-you” pricing are offered at our discretion and may be changed or withdrawn at any time.
  3. You are responsible for all applicable taxes, duties, customs charges, and import fees.
  4. We may suspend accounts with outstanding balances or disputed payments.

7. Marketplace and User-Generated Content

7.1 Design Ownership

You retain ownership of any designs, artwork, text, or content you upload (“User Content”).

By uploading User Content, you grant us a non-exclusive, worldwide, royalty-free licence to:

  • Use, reproduce, modify, and display the content to operate the Services
  • Manufacture products containing the content
  • Promote the marketplace and related products

7.2 Marketplace Sales

  • You are responsible for pricing, descriptions, and usage rights
  • We may charge commission or service fees as disclosed separately
  • Payouts are subject to verification, minimum thresholds, and fraud checks

8. Intellectual Property and Prohibited Content

You must not upload or use content that:

  • Infringes third-party intellectual property rights
  • Is unlawful, defamatory, obscene, or offensive
  • Violates privacy or publicity rights
  • Promotes hate, violence, or discrimination

We reserve the right to remove content, suspend listings, or terminate accounts where we reasonably believe these Terms have been breached.

9. Third-Party Integrations

  • The Services may integrate with third-party platforms
  • We are not responsible for downtime, data loss, or API changes caused by third parties
  • Your use of third-party platforms is subject to their own terms

10. Quality, Defects, and Errors

  1. We will replace or refund products that are faulty, damaged, or incorrectly produced due to our error.
  2. Claims must be submitted within 7 days of delivery with photographic evidence.
  3. We are not responsible for:
    • Customer errors in artwork, spelling, or sizing
    • Colour variation due to screen differences
    • Minor tolerances inherent in print-on-demand production

11. Limitation of Liability

  1. We are not liable for loss of profits, business, or indirect or consequential losses.
  2. Our total liability for any order shall not exceed the amount paid for that order.
  3. Nothing excludes liability for:
    • Death or personal injury caused by negligence
    • Fraud or fraudulent misrepresentation
    • Liability that cannot be excluded under UK law

12. Indemnity

You agree to indemnify and hold us harmless from claims arising from your designs, User Content, breach of these Terms, or use of the Services.

13. Suspension and Termination

We may suspend or terminate your account if:

  • You breach these Terms
  • You engage in fraudulent or unlawful activity
  • Required by law or regulatory authorities

Termination does not affect outstanding payments or accrued rights.

14. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services constitutes acceptance of the updated Terms.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
